ABOUT IXIO LEGAL QSHIFT
Ixio Legal QShift is an innovative method of building your documents. QShift
allows you to build the first draft of any document by selecting from your Best
Practice clauses. Moreover, each Best Practice clause can identify (1) the
author of that clause, (2) the author's commentary on the clause, such as what
the clause is, and how it has been used before, and (3) the date the commentary
was made. By organizing your Best Practice clauses, QShift saves you time in
drafting documents - first drafts can now be created in less than 20% of the
time it used to take!
QShift also enables you to control your meta data. With the recent amendments to
the Federal Rules of Civil Procedure, electronic information, including meta
data, is now a required part of evidence. QShift does not include "harmful"
meta data that might be included in your documents that were created using the
traditional "Open File - Save As" method.
Pricing for QShift
QShift subscriptions come in two types:

$99 per month for Author/Administrators: for QShift power users, Authors and
Administrators have access to the full set of features, including (1) building
documents from QShift models, (2) building QShift models themselves, and (3)
adding, removing, and managing your QShift users.

$59 per month for Drafters: for users who are restricted to building and
drafting documents only.

Professional Services for QShift
Ixio Professional Services offer comprehensive instructor led on-site as well as
on-line training solutions to ensure our customers are up and running quickly
and efficiently. We offer a variety of classes and on-line tutorials addressing
the needs of your entire organization. From the power user who will create and
edit the models for your library to the occasional drafter, we have the
solution to your training needs.
Training Programs
Model Editing/Document Drafting On-Site Training*
Our on-site training is extensive and delves into the editing of a model.
Attendees will receive a comprehensive user-friendly training manual as well as
a complete QShift model. Training will include:

For class sizes of more than five trainees, we require the services of an
additional instructor. While one instructor guides the group through the
training materials, another instructor circulates throughout the classroom to
provide personalized attention and to answer questions from individual
trainees.

on-line training for either one-on-one or one-on-two instruction. With real
time, web-based training, the trainee performs the exercises, while the
instructor guides, observes and provides feedback. When requested or as
appropriate, the instructor performs the exercises, or portions of the
exercises, for the trainee's observation, answering any questions the trainee
may have. Attendees will receive a comprehensive user-friendly training manual
as well as a complete QShift model. Web-based training by experienced
instructors, utilizing Microsoft's real time Live Meeting solution, includes:

QShift, learning how to build a model from scratch. Each attendee will bring a
document with alternative clauses and commentary (such as instructions on when
to use a particular clause in a document) to the class that they want to turn
into a QShift model and our instructor will walk them through the entire
process, from start to finish, leaving no stone unturned. Training will
include:

written and available on the Internet 24/7 at www.ixio.com

Model Building by Ixio
There are two methods you can utilize in order to get your QShift models built.
Either you may build your own using your own documents, or alternatively, you
can send your documents to us and Ixio Professional Services will do it for
you. If our team creates your models, your QShift Model Library will be built
that much faster and you'll be able to move more quickly to the document
drafting stage.

QShift Staged Implementation Program
As part of its comprehensive commitment to law firms and corporate legal
departments, Ixio offers its QShift Staged Implementation Program, which is
designed to improve the efficiency of your work flow, improve the quality of
your work product, and, as a result, improve your bottom line. The Staged
Implementation Program is based on a simple eight stage process. The first six
stages generally occur over a period of two to four weeks. If you are satisfied
with your QShift experience, we then move forward with further implementation
and expansion within your law firm or legal department. Here is how it works:
Stage 1: You identify the law firm practice group (e.g., corporate
finance, real estate, wealth planning) or corporate department (e.g., legal,
finance, employment, sales) and the QShift participants within your law firm or
company.
Stage 2: You e-mail us your desired contract or other document that you
use most often, or, alternatively, from which you plan to draft further
contracts or other documents in the near future (e.g., lease agreement,
independent contractor agreement). We ask that you select a contract or other
document that will contain transaction-specific information, necessitating
manual entry on the part of the drafter (e.g., names, addresses, dates, dollar
amounts), commentary, and optional provisions or "clauses." We ask that you
e-mail us any commentary or optional provisions that you would like included in
the QShift model.
Stage 3: We build a model or "template" from the e-mailed document once
you have pre-approved the associated cost. Once the model is built, we provide
you complementary one (1) hour training. Then your firm or company uses that
model to draft each new document of that type.
Stage 4: You select your desired training method. (Please refer to
QShift Training Programs for training alternatives.)
Stage 5: You draft documents using the model in QShift and revise the
model as needed or desired.
Stage 6: You assess your satisfaction with, and provide us feedback on,
the QShift Staged Implementation Program.

needs. We have two options available for you: private labeling and customized
adaptations.
Private Label
Corporate legal departments who want more people to build documents now can do
so with a custom look and feel! With an OEM version of QShift you can create
your own look and feel of QShift to fit your company's image using your own
language, color, and schematics. By allowing others to easily draft their
needed legal contracts from your customized forms, it will help you and your
clients to meet deadlines each time. If you want your contracts administrators
